COVIN LOCAL END-USER LICENCE AGREEMENT

Not yet reviewed by a lawyer.

Version 1.0, effective October 6, 2026

This End-User Licence Agreement ("Agreement") is between Kartikey Sachdeva, an individual doing
business as Covin, San Francisco, California, USA ("Covin", "we", "us") and you, the individual or the
organisation on whose behalf you install the software ("you"). By installing, running or using Covin Local you
agree to this Agreement. If you do not agree, do not install or use it. If you accept on behalf of an
organisation, you confirm you have authority to bind it.

1. THE SOFTWARE
"Covin Local" means the covin command-line program, its hooks for AI coding agents, its background agent, the
installer, any updates we provide, and their documentation (together, the "Software"). The Software observes
the actions AI coding agents request on your computer, records them locally, and, in the modes you choose, can
log, ask about or block those actions.

2. LICENCE
Subject to this Agreement, Covin grants you a personal, non-exclusive, non-transferable, non-sublicensable,
revocable licence to install and use the Software in object-code form on computers you own or control, for
your own or your organisation's internal purposes. The Software is licensed, not sold. Covin Local is
currently provided free of charge. Paid plans (such as Enterprise) are governed by a separate written agreement,
which prevails over this Agreement where they conflict.

3. RESTRICTIONS
Except to the extent applicable law expressly permits it despite this restriction, you must not:
(a) copy, modify, translate or create derivative works of the Software;
(b) reverse engineer, decompile, disassemble or attempt to derive its source code;
(c) sell, rent, lease, lend, sublicense, distribute or host the Software for third parties;
(d) remove or alter any proprietary notices, the LICENSE file or this Agreement;
(e) circumvent, disable or interfere with licence, integrity or security features of the Software;
(f) use the Software to build a competing product, or publish benchmarks of it without our written consent; or
(g) use the Software in violation of law or the rights of others.

4. THIRD-PARTY COMPONENTS
The Software includes third-party components (including the Python runtime and libraries) licensed under their
own terms, listed in THIRD_PARTY_NOTICES.txt. Those terms govern those components and prevail over this
Agreement for them. Nothing in this Agreement limits rights those licences grant you.

5. YOUR DATA AND WHAT THE SOFTWARE SENDS
5.1 Local operation. Without signing in (covin login), the Software works entirely on your computer and sends
nothing to Covin. Events wait in a local queue capped in size; the oldest are dropped first.
5.2 After you sign in, the Software uploads signed batches of event metadata to your Covin account: which agent
session acted, the action verb, the resource address, the result and the tool-call identifier, plus periodic
heartbeats. Values that look like secrets are redacted before upload.
5.3 The Software does not upload prompts, file contents, command text or bait tokens. Prompts and contents are
represented only by keyed fingerprints (HMAC-SHA256 under a key tied to your account).
5.4 If you configure an optional large-language-model review, the Software sends the information needed for
that review to the model provider you configure, under your agreement with that provider.
5.5 Data uploaded to a Covin account is handled under our Privacy Policy (https://covin.dev/privacy) and, for
organisations, a Data Processing Addendum available on request. You are responsible for having the rights and notices needed to monitor the
agents and computers on which you install the Software.

6. YOUR RESPONSIBILITIES; NATURE OF THE SOFTWARE
The Software is a safeguard, not a guarantee. It may not detect, ask about or block every unwanted action. Its
documented limits include the following. It fails open (allows) when a check exceeds its time budget, unless
you enable fail-closed. Observe mode only logs. A session whose task was not recorded may be asked about rather
than blocked. You remain responsible for your agents, your systems, your backups and your security controls, and
for reviewing actions the Software allows or asks about.

7. UPDATES
We may provide updates. Some may be required for continued use or security. This Agreement applies to updates
unless they come with different terms.

8. FEEDBACK
If you send suggestions or feedback, we may use them without obligation to you.

9. OWNERSHIP
Covin and its licensors own all rights in the Software. All rights not expressly granted are reserved.

10. TERM AND TERMINATION
This Agreement lasts until terminated. You may terminate it at any time by uninstalling the Software
(covin uninstall) and deleting all copies. We may terminate it if you breach it, or on notice if we discontinue
the Software. On termination you must stop using and delete the Software. Sections 3, 4, 5.5, 6, 8, 9 and 11-14
survive.

11. DISCLAIMER OF WARRANTIES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF
ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND
NON-INFRINGEMENT, AND ANY WARRANTY THAT IT WILL DETECT OR PREVENT ANY PARTICULAR ACTION, OR OPERATE WITHOUT
INTERRUPTION OR ERROR.

12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) COVIN WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, REVENUE OR GOODWILL, ARISING FROM OR RELATED TO
THE SOFTWARE OR THIS AGREEMENT, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) COVIN'S TOTAL LIABILITY WILL NOT
EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM AND US$100. Some
jurisdictions do not allow certain exclusions; in those, our liability is limited to the extent permitted.

13. EXPORT AND SANCTIONS
You must comply with applicable export control and sanctions laws, and must not use or export the Software
where prohibited.

14. GENERAL
This Agreement is governed by the laws of the State of California, USA, excluding its conflict-of-laws rules, and disputes
will be resolved exclusively in the courts of San Francisco County, California, except that either party may seek injunctive relief
anywhere. You may not assign this Agreement without our consent; we may assign it in a merger, acquisition or
sale of assets. If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision is
not a waiver. This Agreement, with any documents it references, is the entire agreement about the Software and
supersedes prior understandings. We may update this Agreement for future versions of the Software; the version
included with the copy you install governs that copy.
